Legal Counsel

Provide legal support across regulatory, transactional, and operational matters involving digital assets, tokenized securities, SEC-regulated entities, compliance, product launches, agreements, audits, and regulatory developments.

Responsibilities

• Advise on legal and regulatory matters related to digital assets and tokenized securities
• Support compliance with U.S. securities laws applicable to SEC-regulated entities
• Collaborate with compliance and business teams on regulatory initiatives, product launches, and operations
• Coordinate and manage external counsel
• Draft, review, and negotiate commercial and strategic agreements
• Support regulatory examinations, audits, and information requests
• Develop and maintain internal legal and compliance policies
• Monitor regulatory developments affecting digital assets and securities markets

Requirements

• JD from an accredited law school
• Active member in good standing of at least one U.S. state bar
• 3–7 years of relevant legal experience
• Prior experience working with digital assets or blockchain-based financial products
• Prior experience with one or more SEC-regulated entities, such as a broker-dealer, investment adviser, transfer agent, or ATS
• Public company experience preferred
• Experience advising private funds preferred
• Experience with registered investment companies preferred
• Familiarity with fund administration or service provider oversight preferred
• Experience working cross-functionally in fast-moving or innovative environments preferred
